Naturgy has incorporated Enrico Letta as an independent director by co-optation, at the proposal of the Appointments and Remuneration Committee, within the process of reorganizing its governing body after CVC's withdrawal from its capital.
The former Italian prime minister, a recognized expert in European integration and international governance, joins the board after the company Rioja SARL (CVC) has sold its entire stake in the energy company.
Following this divestment, the board has taken note of the resignations of the shareholder directors Javier de Jaime, Marta Martínez, and José Antonio Torre de Silva, who acted as representatives of CVC, and has expressed its gratitude for their dedication and contributions in recent years.
The highest administrative body has also accepted the resignation of shareholder director Nicolás Villén and, at the proposal of the Australian fund IFM, has appointed the German Anke Groth as a new director by co-optation.
Simultaneously, Naturgy has eliminated the reinforced majority system that had been in place since 2016 in the regulations of the board and its committees, so that decisions will once again be made by ordinary majority.
The company has also revised the composition of its committees, including the Investment Projects Committee, which will include Letta himself along with other directors such as Helena Herrero, Ramon Adell, and Pedro Sáinz de Baranda.
