The venture capital firm Ship2B Ventures has opted to terminate its European social entrepreneurship fund (FESE) 'Montana Impact Funds', considered the first European vehicle dedicated to social impact companies in the field of pediatrics, without reaching a first closing or raising contributions from investors.
"No investor has been harmed in this process. The funds in liquidation never reached a first closing or received investments, with Ship2B Ventures SGEIC being the sole partner," the company specified in statements to Europa Press.
The firm details that the only contribution made was 60,000 euros, disbursed by Ship2B Ventures and intended to cover the structure and maintenance of the project, "without any portfolio investment being executed." "Therefore, there have been no losses for external investors," it pointed out.
'Montana Impact Funds FESE' was launched in 2023 with a planned size of 30 million euros and an initial horizon of 10 years, subsequently extended to 12 years in 2024, according to the 2025 annual report filed with the National Securities Market Commission (CNMV). In April 2025, it obtained the supervisor's approval to operate with the mission of promoting initiatives focused on the prevention of childhood pathologies.
Ship2B Ventures agreed on December 23, 2025, to proceed with its liquidation due to "a strategic opportunity" that arose at the end of that year. Specifically, the firm explains, after the investment commitments from CDTI Invierte and the European Investment Fund (EIF) were formalized, the option to significantly increase the initially planned volume for the funds was "opened" to them.
"However, for legal reasons, extending the investment period for an additional year required liquidating the funds established in 2023 and creating a new structure," they state.
In this context, Ship2B Ventures promoted the creation of the vehicles 'Montana Children's Health Invierte FESE' and 'Montana Children's Healt FESE SA', designed to replicate and reinforce the configuration of the previous funds. This new fund managed to close its first tranche with 37 million euros committed at the beginning of May, exceeding the initial target set at the beginning of the process.
Once the liquidation of the original funds, 'Montana Children's Health Invierte FESE' and 'Montana Children's Health FESE SA' is concluded, they will become the manager's only active vehicles in this area.
