The general shareholders' meeting of Audax Renovables, held this Thursday, has ratified the continuity of Francisco José Elías Navarro as executive director of the company for a statutory term of 4 years.
According to the communication sent to the National Securities Market Commission (CNMV), the re-election of Josep Maria Echarri as an independent director for the same period has also been approved in the same session.
The meeting, which has supported all the points included in the agenda, has also granted the board of directors an authorization, for a period of 5 years, to carry out capital increases in the terms and within the limits provided for in current regulations, including the power to exclude the pre-emptive subscription right of shareholders up to a maximum combined limit of 20% of the share capital.
Likewise, it has been agreed to delegate to the board of directors the capacity to increase the company's share capital, respecting at all times the applicable legal and statutory provisions, for the legal period of 5 years from the date of approval of this agreement, up to an amount equivalent to half of the current share capital.
Another of the approved agreements empowers the board of directors to carry out the derivative acquisition of its own shares, either directly or through dependent companies, within the margins and requirements set by law.
Along with the examination and approval of the annual accounts and the management report for 2025, the meeting has given the green light for the maximum joint remuneration for the directors, in their capacity as such, for the current fiscal year to be 650,000 euros, and has confirmed the re-election of KPMG Auditors as the firm responsible for auditing the company's individual and consolidated accounts.
