The board of directors of Atrys Health has decided to call an extraordinary general meeting in order to submit to a vote a partial modification of the agreement approved on December 21, 2023, by which the issuance of convertible bonds into shares or other similar instruments was authorized for a maximum amount of 25 million euros and with a time horizon of up to five years.

According to the communication sent this Friday to the National Securities Market Commission (CNMV), the company will propose to review sections 5.f), 5.h) and 7.a) of said agreement, with the remaining clauses remaining unchanged.

Also on the agenda is the reelection of Jaime Cano Fernández as an independent director for the statutory term of four years, as well as the delegation of necessary powers for the execution of the agreements adopted in the session.

The meeting is scheduled, in the first call, for November 27, 2026, at 12:00 hours at the CaixaBank offices located on Juan Bravo street in Madrid, with the second call set for November 30, at the same time and in the same location.

Shareholders holding at least 3% of the share capital will have the possibility to submit proposals for agreements. The right to attend will require having the shares registered at least five days prior to the holding of the meeting, and both delegation and remote voting may be exercised until 23:59 hours on November 24, 2026.
