The board of directors of eDreams Odigeo will submit for approval at the ordinary general meeting of shareholders on July 22, on second call, a capital reduction through the amortization of three million own shares at 0.10 euros nominal value each, equivalent to 2.59% of the share capital, along with the authorization to carry out new reductions for the same maximum amount and percentage.

As reported by the National Securities Market Commission (CNMV), this reduction does not imply the return of contributions to shareholders, but rather that the company itself is the holder of the shares to be amortized, and they will be carried out against free reserves (including the share premium reserve).

In addition, among other highlighted points on the agenda, shareholders will vote on the new remuneration policy for directors applicable for the fiscal years between 2026 and 2030, and the allocation of an additional maximum number of shares to the chief executive officer under the 2022 incentive plan.

The annual accounts for the fiscal year ended March 31 of this year will also be submitted for a vote, as well as the appointment of Ernst & Young as auditor.

eDreams achieved a record profit in its 2026 fiscal year, invoicing 16% more than in 2025 to 52.2 million, exceeding forecasts. Furthermore, the company managed to add 643,000 atlases to its subscription model, 7.2% above its target, thus consolidating its growth.
