The two branches of the Entrecanales family, which together hold 55% of Acciona's capital through different companies, will allow the pact regulating the pre-emptive rights over the company's shares to expire this Tuesday.
Tussen de Grachten BV, one of the companies based in the Netherlands through which the Entrecanales Franco branch controls 29.02% of the capital, already communicated in January 2025, with eighteen months' notice and in accordance with the agreement, that it would not extend it beyond its expiration date, July 14, 2026.
The pact, in force for the last 15 years, stipulated that any family member wishing to dispose of their shares must first offer them to the other signatories. With its expiration, this obligation will cease to exist and the shares can be transferred directly on the market, which simplifies operations, especially in a context with numerous heirs and reduced stakes after several generations.
In parallel, the Entrecanales Franco reiterated "their firm commitment" to the Acciona project, their support for the company's strategic direction, and their "confidence and support" in the management bodies and the executive team.
"The decision not to tacitly extend the agreement again, with a notice period of eighteen months, does not presume any intention or will on the part of the reference shareholders bound by said agreement to dispose of their shareholdings," clarified Tussen de Grachten when it made its decision public.
Tussen de Grachten, whose name in Spanish means "Between canals," is the company through which the Entrecanales Franco branch, descendants of Acciona's former vice-president Juan Entrecanales Azcárate, articulates its participation. The current executive vice-president of the group is Juan Ignacio Entrecanales Franco.
For its part, the company Wit Europese Investering (WEI), holder of 26.10% of Acciona, is in the hands of the Entrecanales Domecq, heirs of José María Entrecanales, also a former vice-president of the company. José Manuel Entrecanales Domecq currently serves as chairman and CEO of Acciona.
