Amadeus IT Group has completed the formalization of the purchase of Idemia Public Security (IPS) and the set of associated companies for an amount of 1.200 million euros, to which a possible additional variable payment ("earn-out") of up to 150 million euros is added, as notified this Thursday to the National Securities Market Commission (CNMV).

The transaction, which the company announced for the first time on April 29, remains pending the usual regulatory approvals, and Amadeus estimates that it can be definitively closed by mid-2027.

Idemia Public Security is a provider specialized in biometric and identity solutions based in France. This purchase is part of Amadeus's strategy to integrate this type of activity into its business, although the communication sent to the CNMV does not provide further details on the specific operational scope of the operation.

To finance the acquisition, Amadeus has signed a syndicated bridge loan for 1.200 million euros, denominated in a single currency, with a consortium of reference banks. This loan has an initial term of one year, with the possibility of extending it for two additional periods of six months each at its maturity, at the company's own discretion.

The capital obtained through this loan will be used entirely to finance the purchase of Idemia Public Security.
