Duro Felguera has called an extraordinary general meeting of shareholders on September 18, in the first call and with attendance only in person, in order to submit to a vote one of the strategic projects of its new stage: the Tula project, a combined cycle power plant that it will develop in partnership with Mota-Engil Mexico, as the Asturian engineering company communicated this Monday to the National Securities Market Commission (CNMV).

As the company has detailed, the agenda for this meeting, which is expected to be validly constituted in the first call, is exclusively limited to the approval or, if applicable, the rejection of the Tula project.

The Tula project, along with the Escolín project --a fertilizer plant also located in Mexico-- is part of the growth roadmap designed by Duro Felguera after obtaining judicial backing for its restructuring plan last June.

In this context, the Commercial Court number 3 of Gijón completely rejected the incidental claims presented against the judicial homologation of the joint restructuring plan of the Duro Felguera Group, signed on October 21, 2025.

These claims had been filed against Duro Felguera and several of its subsidiaries by the companies Romgaz, Zgounder Millenium Silver Mining, Asturfluid, Luongo Underwriters and Consulting, Aerzen Ibérica, PMI "WWtech" Przemyslaw WÓjcik Yslaw Wójcik, Scafom España, RSB Advisors and the companies of the General Electric Group.

As a result of the aforementioned resolution, the Court proceeded to homologate the plan, extending its effects to the affected credits, including creditors and dissenting classes, under the terms established by law and by the documentation of the restructuring plan itself, without prejudice to the adaptations, execution operations, communications, registrations and additional actions that are necessary to ensure its full effectiveness.

The president of Duro Felguera, Eduardo Espinosa, highlighted that the judicial homologation of the company's restructuring plan opens a new phase for the company, focused on smaller contracts and lower exposure to risk, with a special focus on business opportunities in Mexico, among which are the Tula project and the Escolín project.
