Amper has called its shareholders to an extraordinary general meeting that will be held on the next September 30 in the first call and on October 1 in the second, with the aim of submitting for approval a deep internal reorganization of the group through the contribution of subsidiary and affiliated companies.

The proposal includes the contribution of the shares of Amper Gestión and Almacenamiento de Energía and of Servidesca Mexico to the defense subsidiary; the transfer of the shares of Proes Consultores and of the shares of Amper Offshore to Amper Energía y Sostenibilidad; the transfer of the shares of Navaces Process Industries to Amper Offshore; the transfer of the shares of Electrónica Industrial y Naval to Amper Gestión and Almacenamiento de Energía, and the contribution of the shares of Signal Intelligence Consultancy to Amper Sistemas de Protección.

The company claims that this corporate reorganization will allow "a better alignment between the organizational model of the company" and "optimized management" of the group.

Likewise, it is planned to delegate all necessary powers to the board of directors and to the CEO, Enrique López Pérez, to execute and complete all actions related to this operation within a maximum period of one year.

Capital increase and remuneration changes

On the agenda, there is also the approval of a capital increase of 9.5 million euros, which will be carried out through the issuance and circulation of 7.6 million new ordinary shares, with a nominal value of 1.25 euros each.

These new shares will incorporate a joint issuance premium of 34.4 million euros, equivalent to 4.50 euros per share, so that the total amount of the issuance premium stands at 44 million euros.

In addition, shareholders will have to vote on the modification of the remuneration policy of the board of directors for the period 2025-2028, as well as on the implementation of a long-term incentive plan linked to shares, which will be applied over the next three years.
